1. Introduction and Acceptance

Welcome to Mitr Sewa Mutual Funds. These Terms and Conditions ("Terms") govern your use of our website, mobile applications, and services related to mutual fund distribution and investment. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

These Terms constitute a legally binding agreement between you and Mitr Sewa (CIN: U52399UP2021PTC140614, AMFI Reg No.: ARN-346956). If you do not agree with any part of these Terms, please do not use our services.

2. Definitions

• "Mitr Sewa," "we," "us," or "our" refers to Mitr Sewa Mutual Funds and its affiliates
• "User," "you," or "your" refers to any individual or entity using our services
• "Services" refers to all services provided by Mitr Sewa, including mutual fund distribution, advisory services, and platform access
• "Platform" refers to our website, mobile applications, and associated digital interfaces
• "Distributor" refers to individuals or entities enrolled as mutual fund sub-distributors with Mitr Sewa
• "Investor" refers to individuals investing in mutual funds through our platform
• "AMC" refers to Asset Management Companies managing mutual fund schemes
• "ARN" refers to AMFI Registration Number issued to mutual fund distributors

3. Eligibility and Registration

3.1 General Eligibility

To use our services, you must:

• Be at least 18 years of age
• Be a resident of India with valid identification documents
• Possess valid PAN (Permanent Account Number)
• Complete KYC (Know Your Customer) verification as mandated by SEBI
• Provide accurate and complete information during registration

3.2 Distributor Eligibility

To become a sub-distributor with Mitr Sewa, you must additionally:

• Pass the NISM Series-V-A: Mutual Fund Distributors Certification Examination
• Obtain a valid ARN from AMFI
• Comply with all SEBI and AMFI regulations governing mutual fund distribution
• Maintain professional conduct and ethical standards

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4.1 For Investors

• Access to multiple mutual fund schemes from various AMCs
• Online transaction execution (purchase, redemption, switch)
• SIP (Systematic Investment Plan) facilities
• Portfolio tracking and performance reporting
• Market insights and investment calculators
• Customer support and guidance

4.2 For Distributors

• Access to back-office dashboard for client management
• Commission tracking and payout reports
• Training programs and educational resources
• Marketing materials and support
• Technical support and platform access
• Regular updates on market trends and products

5. Investment Terms

5.1 Risk Disclosure

Mutual fund investments are subject to market risks. Past performance is not indicative of future returns. You acknowledge that:

• The value of investments may go up or down
• There is no guarantee of returns or capital protection
• Different mutual fund schemes carry different levels of risk
• You should read all scheme-related documents carefully before investing
• You should consider your financial situation, investment objectives, and risk tolerance before investing

5.2 Investment Decisions

All investment decisions are made by you at your own discretion and risk. While we may provide information, calculators, and general guidance, we do not provide personalized investment advice unless explicitly stated. We recommend consulting with a qualified financial advisor before making investment decisions.

5.3 Transaction Processing

All transactions are subject to:

• Successful completion of payment
• Acceptance by the respective AMC
• Compliance with scheme-specific rules and regulations
• Completion of KYC and other regulatory requirements
• Cut-off times specified by AMCs for NAV applicability

6. Distributor Terms

6.1 Commission Structure

Distributors are entitled to commissions as per the agreement between Mitr Sewa and the distributor. Commission rates are subject to:

• The terms specified in the distributor agreement
• AMC policies and SEBI regulations
• Transaction volumes and business performance
• Timely compliance with all regulatory requirements

6.2 Distributor Obligations

As a distributor, you agree to:

• Maintain valid ARN and NISM certification throughout the association
• Provide accurate and truthful information to investors
• Comply with all SEBI, AMFI, and AMC guidelines
• Not engage in mis-selling or unethical practices
• Ensure proper suitability assessment before recommending products
• Maintain confidentiality of client information
• Disclose all material information to investors
• Not guarantee returns or make false promises

6.3 Termination of Distributorship

Mitr Sewa reserves the right to terminate a distributor relationship immediately if:

• The distributor violates any terms of the agreement
• The distributor's ARN is suspended or cancelled
• The distributor engages in fraudulent or unethical practices
• The distributor fails to meet minimum compliance standards
• Required by regulatory authorities

7. Fees and Charges

7.1 Platform Fees

Mitr Sewa does not charge any platform fees for investors. However, mutual fund investments are subject to:

• Fund management charges levied by AMCs
• Exit loads as specified in scheme documents
• Transaction charges as per SEBI regulations
• Payment gateway charges, if applicable

7.2 Distributor Fees

Distributors are not charged any registration or platform fees. Commission sharing and payout terms are as per the distributor agreement.

8. User Conduct and Prohibited Activities

You agree not to:

• Provide false, inaccurate, or misleading information
• Use the platform for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or data
• Interfere with or disrupt the platform's operation
• Engage in data scraping, mining, or automated data collection
• Reverse engineer or decompile any part of the platform
• Transmit viruses, malware, or harmful code
• Impersonate any person or entity
• Violate any applicable laws or regulations

9. Intellectual Property Rights

All content, features, and functionality on our platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Mitr Sewa or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any material from our platform without prior written consent, except for:

• Temporary storage in RAM incidental to accessing and viewing
• Files automatically cached by your browser for display enhancement
• Personal, non-commercial use only

10. Data Protection and Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect, use, and protect your personal information in accordance with applicable data protection laws and regulations.

By using our services, you consent to the collection and use of your information as described in our Privacy Policy.

11. Disclaimers and Limitations of Liability

11.1 Service Availability

While we strive to ensure continuous availability, we do not guarantee that our platform will be available at all times without interruption. We may experience hardware, software, or other problems that could lead to interruptions, delays, or errors. We reserve the right to suspend or discontinue any aspect of the platform at any time.

11.2 Information Accuracy

We endeavor to provide accurate and up-to-date information on our platform. However, we do not warrant the accuracy, completeness, or reliability of any information, data, or content. Information on mutual funds, NAVs, returns, and market data is provided "as is" without any warranties.

11.3 Third-Party Content

Our platform may contain links to third-party websites or services that are not owned or controlled by Mitr Sewa. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

11.4 Limitation of Liability

To the maximum extent permitted by law, Mitr Sewa, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising from:

• Your use or inability to use the services
• Any investment losses or financial damages
• Unauthorized access to or alteration of your data
• Statements or conduct of any third party on the platform
• Any other matter relating to the services

12. Indemnification

You agree to indemnify, defend, and hold harmless Mitr Sewa, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

• Your violation of these Terms
• Your violation of any law or rights of any third party
• Your use of the services
• Your provision of false or misleading information
• Your investment decisions and consequences thereof

Mitr Sewa is regulated by and complies with:

• Securities and Exchange Board of India (SEBI) regulations
• Association of Mutual Funds in India (AMFI) guidelines
• Prevention of Money Laundering Act (PMLA), 2002
• KYC (Know Your Customer) norms
• All applicable securities and financial services laws of India

Users must comply with all applicable laws and regulations while using our services.

14. Modification of Terms

We reserve the right to modify these Terms at any time at our sole discretion. We will notify you of significant changes by posting the updated Terms on our platform with a new "Last Updated" date. Your continued use of the services after such modifications constitutes your acceptance of the updated Terms.

It is your responsibility to review these Terms periodically. If you do not agree to the modified Terms, you should discontinue use of our services.

15. Termination

15.1 Termination by You

You may terminate your account at any time by contacting our customer support. Upon termination, your access to the platform will be discontinued, but certain obligations may continue.

15.2 Termination by Us

We may suspend or terminate your access to the services immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms
• Fraudulent or illegal activity
• Requests by law enforcement or regulatory authorities
• Extended periods of inactivity
• Technical or security concerns

15.3 Effects of Termination

Upon termination:

• Your right to use the platform will immediately cease
• You must cease all use of the platform and destroy any downloaded materials
• Existing mutual fund holdings and investments will remain unaffected
• Certain provisions of these Terms will survive termination

16. Dispute Resolution and Governing Law

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

16.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the services shall be subject to the exclusive jurisdiction of the courts in Lucknow, Uttar Pradesh, India.

17. Miscellaneous Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and Mitr Sewa regarding the services.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, pandemic, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
